We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you, to the extent permitted by law.
The Services are intended for individuals 18 years of age or older who reside in the United States. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity and authority to enter into these Terms.

"User Content" means any data, text, files, or other materials you upload, submit, or otherwise provide through the Services, including content used to generate AI outputs or PDFs.
You retain ownership of your User Content. By uploading or submitting User Content, you grant Clemelopy a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display such content solely as necessary to operate, maintain, secure, and improve the Services.

You agree to defend, indemnify, and hold harmless Clemelopy from any claims, damages, or losses arising out of or related to your User Content.
Clemelopy uses AI technologies (including third-party AI providers such as OpenAI) to assist in generating strategies, text, and other outputs based on your inputs. You acknowledge and agree that:
Clemelopy maintains safeguards designed to reduce the likelihood that its AI systems generate or disseminate unlawful, abusive, sexually explicit, violent, or otherwise harmful material, including the use of reputable third-party AI providers and adherence to responsible AI use practices. Important: To the fullest extent permitted by law, you agree to hold harmless and indemnify Clemelopy, its affiliates, officers, employees, and partners from and against any claims, damages, or losses arising out of or related to AI-generated material that may be deemed inaccurate, inappropriate, offensive, or unlawful.

All non-User Content, features, functionality, software, and documentation available through the Services are owned by Clemelopy or its licensors and are protected by intellectual property and other laws.
Except as expressly permitted in these Terms or with our prior written consent, you may not:

Clemelopy relies on third-party providers, including but not limited to Cloudflare (infrastructure and security), Vercel (hosting), Supabase (database and authentication), Google (Auth and Analytics), Stripe (payments), MailerLite (email and marketing automation), ConvertCloud (PDF creation), and OpenAI (AI processing).
You acknowledge and agree that:
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, our AI Supplemental Terms, abused the Services, or created risk or liability for us or others.
You may stop using the Services at any time. Certain provisions of these Terms (including Intellectual Property, AI-Generated Content Disclaimer, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will survive termination.
The Services (including all content and AI-generated outputs) are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Clemelopy disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of accuracy, non-infringement, merchantability, fitness for a particular purpose, or that the Services will be uninterrupted, secure, or error-free.
Clemelopy does not warrant that the Services will be compatible with all devices, browsers, or third-party integrations, or that any errors or defects will be corrected.
To the fullest extent permitted by law:
Clemelopy's total aggregate liability for all claims arising out of or related to the Services shall not exceed the greater of: (a) the total amount paid by you to Clemelopy in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Clemelopy shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, power or internet outages, labor disputes, cyberattacks, governmental actions, or failures of third-party infrastructure or hosting providers.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, held in Duval County in Jacksonville, Florida, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. trade or economic sanctions, and that you are not listed on any U.S. government restricted party list. You agree not to use the Services in violation of any applicable export control, sanctions, or anti-terrorism laws, or to permit any person or entity subject to such restrictions to access the Services. Clemelopy may immediately suspend or terminate access to the Services if it reasonably believes you have violated this Section.
You understand that the Services, including any AI-generated outputs, are general informational tools and are not designed or intended to ensure your compliance with any specific law or regulation. You are solely responsible for:

If you provide Clemelopy with any suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Services ("Feedback"), you grant Clemelopy a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and otherwise exploit such Feedback for any purpose, including improving and developing the Services and related products, without any obligation or compensation to you.
From time to time, Clemelopy may offer features or functionality identified as "beta," "early access," "preview," "experimental," or similar ("Beta Features"). You understand and agree that:

If you are an agency, consultant, or other organization using the Services on behalf of one or more clients:

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
